1. Parties: This is an agreement between MeadowLark Melodies, ("We" or "Us"), located at 3430 MeadowLark Drive, Lewiston, Idaho 83501 and the person or entity that purchased the right to use a sound file from our website. 2. Limited Agreement: This is a limited agreement. It applies for its term only. That term is the period of time that starts on the date the sound file is transmitted to you and ends after the number of days or months for which you purchased this license. This license may be renewed by accepting the renewal terms as than published on our website. This agreement is entered into without prejudice to any position you or we may make for any period subsequent to its termination. 3. Definitions: Your Website is the Internet site on the World Wide Web you identified on our website when you bought this license. Website Transmissions are all transmissions of content to Website Users from or through your Website, or from any other Website pursuant to an agreement between you and the operator of any other website, when accessed by means of any connection from your Website. Website Users are those who access Website Transmissions. Our Repertory consists of all copyrighted musical compositions written, created, reduced to sound files, or published by us or by one of our associates, including compositions written or published during the term of this agreement, and of which we have the right to license performance. 4. Grant of License: We grant you a license to publicly perform, by means of Website Transmission, non-dramatic renditions of the musical compositions from our Repertory that you purchased. 5. Limitations on License: (a) You agree to use the musical composition only on the website you identified to us at the time of your purchase of this license. (b) You agree not to use the musical composition on any other website. (c) You agree not to transfer the composition or electronic file to another website or operator by any means whatsoever, without our consent. (d) If you are an Internet access provider, nothing in this agreement authorizes performances when transmitted from or through any homepage(s) hosted on your Website for those for whom you provide the service of Internet access. (e) This license may not be assigned without our written consent. (f) Nothing in this agreement grants you, or authorizes you to grant to any Website User, or to anyone else, any right to reproduce, alter copy or distribute by any means, method or process whatsoever, the musical composition licensed by this agreement. (g) This license is limited to non-dramatic performances. It does not authorize any dramatic performances. It does not extend to or include any public performance of any opera, operetta, musical comedy, play or like production, in whole or in part. 6. Breach or Default: If you fail to perform any of the terms or conditions required of you by this agreement, we may terminate your license by giving you 30 days notice to cure your breech or default. If you do not do so within that 30-day period, your license will automatically terminate at the end of that period without any further notice from us. 7. Indemnification: We will indemnify you from any claim made against you with respect to the non-dramatic performance licensed under this agreement of any composition(s) in our Repertory. We will have full charge of the defense against the claim. You agree to notify us immediately of any such claim, furnish us with all the papers pertaining to it, and cooperate fully with us in its defense. You may engage, at your own expense, your own counsel to participate in the defense. Our liability under this paragraph is strictly limited to the amounts you actually paid to us under this agreement for the calendar year(s) in which the performance(s), which are the subject of the claim, occurred. 8. Notices: Each party may give the other any notice required by this agreement by sending the notice to the other party's last known address by receipted e-mail, US Postal Service, or by any generally recognized same-day or overnight delivery service. Both parties agree to inform the other in writing of any change of address. 9. Governing Law: This agreement will be governed by and construed in accordance with the laws of the State of Idaho, United States. 10. Entire Agreement: This agreement is the entire agreement between you and MeadowLark Melodies. This agreement may only be modified by a written amendment signed by both parties.
